Welcome to use Xena. This Terms of Service（“Terms” ) governs your use of the Xena App, website, product, content, and other services (collectively referred to as the "Services") directed to this Terms, operated by MICO WORLD LIMITED. You and MICO WORLD LIMITED or one of its affiliates (collectively referred to as "we", “us” or "Xena") will be the parties to this Terms. This Terms may be available in different language versions, to the extent any translated version of Terms agreement conflicts against the English version, this English version prevails.
This Terms form a legally binding agreement between you and us. Please take the time to read them carefully.
Tips:
Xena App provides you to voice chat with your friends. In the App, you can find new friends, go Party, join a Party, send gifts, get profits by receiving gifts. It is intended to be a fun place to visit and it is important to us (and for you) that it remains a safe and friendly environment so you agree that you will only use Xena in a manner consistent with its purpose and which is in accordance with the Terms.
Please note that Xena does not tolerate content that is offensive, abusive, humiliating, or violates laws, regulations, and social morals. If you post such content, we reserve the right to ban your account. If you find other users posting such prohibited content, you can report it to us at any time. We will review in 24 hour about porn, violence, gambling and so on.
Our Services are only available to individuals who are 18 years of age (or the minimum age of majority as determined by local laws) and older. If you have not reached the age of majority, please do not use our Services. If we become aware that a minor is using our Services, we will terminate that account.
By accessing or using our Services, you agree to be bound by this Terms and our Privacy Policy, and you confirm that you are capable of entering into a legally binding contract with us. For certain specific activities or services, we may also post separate policies within our Services, please remember to read them.
Without affecting your legal rights, we reserve the right to revise this Terms at any time. Please regularly review this Terms to check for such changes. Your continued access to or use of our Services after the effectiveness of the new Terms signifies your acceptance of the new Terms. If you do not agree with the new Terms, you must stop accessing or using our Services.
1. Registration and Account
We provide different ways for you to register Xena account, such as Google, Facebook or telephone number. Without our written permission, you may not transfer your account to anyone, nor may you create an account for anyone other than yourself without permission.
We reserve the right to terminate your account in reasonable and legal circumstances. If you violate the Terms, or otherwise create risk or possible legal exposure for us, then we will use the right at our sole discretion, at any time and without liability or the need to give you prior notice or to refund any unused services to:
a. Suspend or revoke your registration (where applicable) and your right to access and/or use Xena or submit any Content to Xena;
b. Make use of any operational, technological, legal, or other means available to enforce the Terms (including without limitation blocking specific IP addresses).
c. We will try (but we are not obliged) to notify you if your access to Xena and/or your Profile is to be or has been suspended or terminated.
You also have rights to delete your account at any time by going to the "Settings" control on Xena when you are logged in and choosing the "Delete Account" link, on the premise that you meet the notice on our logout page. We save your profile information in case you later decide to restore your account. Many users deactivate their accounts for temporary reasons and in doing so expect us to maintain their information until they return to Xena. You will therefore be able to restore your account and your profile in its entirety within 7 days of de-activating it. Please note that once you successfully delete your account, you may not be able to re-access your account or retrieve any information under it and it will be considered that you voluntarily give up all rights and interests under your account, including your existing virtual coins and virtual gifts. Therefore, please make a careful decision before deleting your account.
If we terminate your account, you will not be able to use Xena. You may contact us to find out the reason and seek assistance.
You understand and accept that Xena not provide services of APP online, payments, salary withdrawal in Iran, North Korea, Sudan, Syria, Cuba, Myanmar, Yeman, Iraq, Somalia and other places due to the reasons including but not limited to force majeure and security reasons, and the specific Service delivery time shall be comprehensively assessed by Xena and other necessary authorities.
2. Community guidelines and surveillance strategies
You are able to post photographs, messages and other content ("Content") on Xena.
You own all of the content and information you post on Xena. However, you may not post the following content on our Services:
a. contains any informations about minors, such as videos or voices of minors, inappropriate interaction targeted at a child (for example, groping or caressing, or related to underage dating);
b. engages in the behaviors that inappropriate interaction targeted at a child (for example, groping or caressing);
c. engages in the behaviors that child grooming (for example, befriending a child online to facilitate, either online or offline, sexual contact and/or exchanging sexual imagery with that child);
d. engages in the behaviors that sexualization of a minor (for example, imagery that depicts, encourages or promotes the sexual abuse of children or the portrayal of children in a manner that could result in the sexual exploitation of children);
e. engages in the behaviors that sextortion (for example, threatening or blackmailing a child by using real or alleged access to a child’s intimate images);
f. engages in the behaviors that trafficking of a child (for example, advertising or solicitation of a child for commercial sexual exploitation);
g. does not contain information about minors, but it may have the potential to lead to bad consequences such as abuse, sexual abuse, seduction, or inappropriate content of minors;
h. contains sexual harassment, sexual innuendo or other offensive to human dignity;
i. involving violence and/or self-harm, or encouraging or inducing others to participate in dangerous activities that may cause personal injury or death;
j. related to gambling, abortion, weapons or other highly explosive items;
k. related to compensated companionship, dating, or sexual acts;
l. that provides exploitative dating, mail-order spouse, deceptive dating, etc.;
m. that provides hook-up dating, fling, or swinger dating, affair dating or infidelity services;
n. provides the content of sexual fetish dating;
o. displays chat content that contains nudity, partial nudity or sexually suggestive content;
p. which could be considered offensive or might harass, disturb, embarrass, caution, or annoy anyone;
q. which defamatory, abusive, insulting or threatening, or promotes or encourages racism, sexism, hatred or bigotry;
r. encourages any illegal activity including, without limitation, terrorism, inciting racial hatred or the submission of which in itself constitutes committing a criminal offence;
s. contains any spy ware, viruses, corrupt files, worm programmes or other malicious code designed to interrupt, damage or limit the functionality of or disrupt any software, hardware, telecommunications, networks, servers or other equipment, Trojan horse or any other material designed to damage, interfere with, wrongly intercept or expropriate any data or personal information whether from Xena or otherwise;
t. infringes any third party’s rights (including, without limitation, intellectual property rights and privacy rights).
In addition to the above content restrictions, you should also comply with the following obligations：
a. You shall not infringe the legal rights of others through our services.
b. You will not use our copyrights or Trademarks or any confusingly similar marks, except as expressly permitted with our prior written permission.
c. You will not post unauthorized third-party data. What’s more, you must not post any people’s identification documents or sensitive financial information on Xena.
d. You will not do any commercial activities (including, without limitation, sales, competitions and advertising, links to other websites or premium line telephone numbers) or involves the transmission of "junk" mail or "spam";
e. You may not use any technical means or in any way circumvent, attack, disrupt our services, or interfere with or damage the normal operation of the services and other users' experience, including spreading viruses, adware, or other malicious code in any way.
f. You may not reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Services or any part thereof, except and only to the extent that this activity is expressly permitted by the law of your jurisdiction of residence;
g. Other behaviors that harm our services, users, and any violation of laws and regulations.
You understand and agree that if you violate the above provisions, we have the right to immediately block your account, and you shall bear all losses caused to us and related parties due to your violation.
3. Privacy
Your privacy is very important to us. We designed our Privacy Policy to make important disclosures about how you can use Xena to share with others and how we collect and can use your content and information. We encourage you to read the Privacy Policy, and to use it to help you make informed decisions.
4. Proprietary Rights
a. We explicitly does not assert any ownership over the text, files, images, photos, videos, sounds, musical works, authorship pieces, applications, or other materials ("Content") that you share on or via our Services. When you make any Content available on or through the Xena Services, you are effectively providing Xena with a non-exclusive, fully compensated, royalty-free, global license that permits the company to employ, alter, remove, append, perform publicly, show publicly, copy, and translate the Content. This includes the right to circulate all or a portion of the Content across any media formats and channels. However, any Content that is not made public will remain within the Xena Services and will not be disseminated externally.
b. You affirm and guarantee that: (i) you are the rightful owner of the Content you post on or through the Xena Services, or you possess the appropriate authorization to grant the license mentioned in this section; (ii) your posting and use of the Content on or through the Xena Services do not infringe on any individual's privacy rights, publicity rights, copyrights, contractual rights, intellectual property rights, or any other rights; and (iii) your posting of the Content on our Services does not cause you to violate any agreement with another party. You also agree to bear any royalties, fees, and other payments due to anyone as a result of the Content you publish on or through the Xena Services.
c. Our Services contain Content of Xena ("Xena Content"). Xena Content is protected by copyright, trademark, patent, trade secret and other laws, and Xena owns and retains all rights in the Xena Content and the Xena Services. Xena hereby grants you a limited, revocable, nonsublicensable license to reproduce and display the Xena Content (excluding any software code) solely for your personal use in connection with viewing the Site and using the Xena Services.
d. Our Services contain Content of Users and other Xena licensors. Except as provided within this Agreement, you may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell any Content appearing on or through the Xena Services.
e. Although the Site and other Xena Services are normally available, there will be occasions when the Site or other Xena Services will be interrupted for scheduled maintenance or upgrades, for emergency repairs, or due to failure of telecommunications links and equipment that are beyond the control of Xena. Also, although Xena will normally only delete Content that violates this Agreement, Xena reserves the right to delete any Content for any reason, without prior notice. Deleted content may be stored by Xena in order to comply with certain legal obligations and is not retrievable without a valid court order. Consequently, Xena encourages you to maintain your own backup of your Content. In other words, Xena is not a backup service. Xena will not be liable to you for any modification, suspension, or discontinuation of the Xena Services, or the loss of any Content.
5. Licenses and subscription
You can obtain a one-time license to use gold coins (coins are not real money, do not have monetary value) through Xena, which can then be used to exchange corresponding virtual gifts, decorations, or VIP privileges. The price is based on the amount displayed on the recharge page.
You understand and agree that we do not handle any payment or deductions involving legal tender, such transactions are processed by third-party payment providers or service providers (for example, Apple's iOS Store and Google's Google Play Store). Some third-party service providers may charge you sales tax depending on your location, please refer to the relevant terms of the third-party service providers for details. As a result, the price of gold coins may vary according to the exchange rates of your country, the policies of the payment service providers, and other factors. We reserve the right to adjust the prices of the gold coins at any time.
After obtaining the corresponding Virtual Coins through Xena, the gold coin balance will be credited to your user account. Gold coins cannot be exchanged for the legal tender of any country, region, or any political entity in any form. Gold coins can only be used within our services as part of our services and cannot be combined or used in conjunction with other promotions, coupons, discounts, or special offers unless we permit it.
Gold coins are not permitted to be bought or transferred between users, and we prohibit anyone from trading gold coins outside of official channels or engaging in similar misconduct. If discovered, we reserve the right to ban the offending account at any time and seek compensation.
Unless otherwise agreed by laws and regulations, all recharge actions are final and we do not accept any refund requests.
6. Disclaimer of warranties and limitation of liability
To the fullest extent permitted by law, Xena expressly excludes:
a. all conditions, representations, warranties and other terms which might otherwise be implied by statute, common law or the law of equity; and
b. any liability incurred by you arising from use of Xena, its services or these terms and conditions, including without limitation for any claims, charges, demands, damages, liabilities, losses or expenses of whatever nature and howsoever direct, indirect, incidental, special, exemplary, punitive or consequential damages (however arising including negligence), loss of use, loss of data, loss caused by a computer or electronic virus, loss of income or profit, loss of or damage to property, wasted management or office time, breach of contract or claims of third parties or other losses of any kind or character, even if Xena has been advised of the possibility of such damages or losses, arising out of or in connection with the use of Xena. This limitation on liability applies to, but is not limited to, the transmission of any disabling device or virus that may infect your equipment, failure or mechanical or electrical equipment or communication lines, telephone or other interconnect problems (e.g., you cannot access your internet service provider), unauthorized access, theft, bodily injury (other than caused by our negligence), property damage, operator errors, strikes or other labor problems or any act of god in connection with Xena including but not limited to any liability for loss of revenue or income, loss of profits or contracts, loss of business, loss of anticipated savings, loss of goodwill, loss of data, wasted management or office time and any other loss or damage of any kind, however arising and whether caused by tort (including, but not limited to, negligence), breach of contract or otherwise, even if foreseeable whether arising directly or indirectly.
c. For clearance of doubt, although Xena is under no obligation to assumes responsibility or liability arising from the activities you are engaging, nor for any error, defamation, libel, slander, omission, falsehood, obscenity, pornography, profanity, danger, or inaccuracy contained in any information while you are using Service. You are prohibited from posting or transmitting any unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic, or profane material or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law. Xena will fully cooperate with any law enforcement authorities or court order requesting or directing Xena to disclose the identity of any user that is engaging in any illegal activities.
d. Due to business planning or other reasonable reasons, we reserve the right to suspend Xena at any time. You understand and agree that we bear no direct or indirect liability for suspending the Xena service. We will send you a notice within a reasonable time before the suspension
7. Indemnity
You agree to defend, indemnify and hold harmless Xena, its parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Xena Service; (ii) your violation of any term of these Terms; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that one of your User Status Submissions caused damage to a third party. This defense and indemnification obligation will survive this Terms and your use of the Xena Service. We don't support or encourage illegal consumption of alcohol or tobacco, so there.
8. Legal Jurisdiction
This Terms shall be governed by the most applicable laws to that event, which shall be decided by Xena. In the event that the laws of Hong Kong are decided as the governing law, the rules of choice of law does not apply. The jurisdiction and venue of any actions arising out of, or relating to or in any way connected with your access and/or use of this site shall be exclusively in Jakarta Court of Hong Kong.
